1. Who we are

These Terms & Conditions ("Terms") are issued by MozPay Ltd, a private company limited by shares incorporated in England & Wales under the Companies Act 2006 with company number 17341686, whose registered office is at 128 City Road, London, EC1V 2NX, United Kingdom ("MozPay", "we", "us"). These Terms govern the use of the MozPay website at mozpay.co.uk (the "Site") and set out the basis on which MozPay provides its payment collection and settlement service (the "Service") to hospitality businesses in Mozambique.

3. The Service

MozPay acts as a collecting agent appointed by each Lodge. Under this arrangement:

  1. A Guest pays for their booking by international card in USD on a secure hosted payment page.
  2. MozPay receives the Card Proceeds on the Lodge's behalf. Receipt of payment by MozPay discharges the Guest's payment obligation to the Lodge for the amount received.
  3. MozPay batches the week's Card Proceeds and converts them to Mozambican metical through a licensed FX Partner at a transparent, negotiated rate.
  4. MozPay settles the converted amount, less agreed fees, to the Lodge's designated bank account on a weekly cadence, with a full statement and reconciliation for each Payout.

MozPay is not a bank and does not accept deposits, provide credit, or offer investment services. The contract for accommodation and related services is at all times between the Guest and the Lodge; MozPay is not a party to that contract.

4. Relationship between MozPay, the Lodge and the Guest

MozPay acts as agent of the Lodge for the collection of payments, and each Lodge acts as principal in its dealings with Guests. Nothing in these Terms creates a partnership, joint venture or employment relationship between MozPay and any Lodge or Guest. Lodges remain solely responsible for the accommodation and services they sell, including their descriptions, availability, quality and their own booking and cancellation terms.

5. Lodge onboarding and eligibility

Use of the Service by a Lodge is subject to satisfactory completion of MozPay's onboarding checks, which include know-your-customer (KYC), sanctions and politically-exposed-person (PEP) screening, and verification of business and bank account details. MozPay may decline, suspend or terminate onboarding or Service access at its discretion where checks are not satisfied, where required by law, or where it reasonably suspects fraud or misuse.

6. Fees and foreign exchange

MozPay's fees are set out in the services agreement with each Lodge. The all-in cost figures published on the Site (approximately 8% per booking) are indicative only and subject to confirmation with our payment and FX partners and in each Lodge's services agreement. Foreign-exchange conversion is carried out at a negotiated rate that is disclosed to the Lodge on each Payout statement. Fees and FX costs are deducted from Card Proceeds before Settlement unless otherwise agreed.

7. Settlement

Settlements are made weekly to the Lodge's designated bank account in Mozambican metical. Settlement timing may be affected by banking hours, public holidays, compliance reviews or events outside MozPay's reasonable control. Each Payout is accompanied by a statement identifying the bookings included, the applicable fees, the FX rate applied and the net amount settled.

8. Refunds, cancellations and chargebacks

Refunds and cancellations are handled in accordance with our Refund & Cancellation Policy. In summary: each Lodge sets its own booking cancellation terms, which are disclosed to Guests at checkout; refunds approved by a Lodge, and chargebacks or disputes resolved against a Lodge, are netted against the Lodge's next weekly Settlement. MozPay manages the chargeback and dispute process with the card networks on the Lodge's behalf.

9. Acceptable use

The Service may only be used for lawful payments for genuine accommodation and related hospitality services. Lodges must not use the Service for any unlawful, deceptive or prohibited activity, must provide accurate and complete information during onboarding and thereafter, and must promptly notify MozPay of any material change to their business or ownership. MozPay may suspend the Service and withhold Settlement where it reasonably suspects a breach of this section, pending investigation.

10. Data protection

MozPay processes personal data in accordance with its Privacy Policy, which forms part of these Terms.

11. Intellectual property and the Site

The Site and its content (including the MozPay name, logo and design) are owned by or licensed to MozPay Ltd. The Site is provided for information purposes; while we take care to keep it accurate, it does not constitute an offer, and figures shown are indicative or illustrative as described in section 6.

12. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the law of England and Wales.

Subject to the above: (a) MozPay shall not be liable for any indirect or consequential loss, loss of profit, loss of revenue or loss of business opportunity; and (b) MozPay's aggregate liability to a Lodge arising out of or in connection with the Service in any 12-month period shall not exceed the total fees paid by that Lodge to MozPay in that period. MozPay is not liable for delays or failures caused by events outside its reasonable control, including acts of banks, card networks, FX providers or regulators.

13. Suspension and termination

Either MozPay or a Lodge may terminate the Service in accordance with the services agreement between them. On termination, MozPay will complete Settlement of collected Card Proceeds in the ordinary course, subject to any amounts properly withheld for refunds, chargebacks or compliance review.

14. Changes to these Terms

We may update these Terms from time to time. The current version will always be published on the Site with its effective date. Material changes affecting onboarded Lodges will be notified in accordance with their services agreement.

15. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
